1. Agreement to Terms

By accessing or using Red Seal Hub (the "Service"), operated by Collars Employment Group Ltd. ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to update these Terms at any time. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

2. Description of Service

Red Seal Hub is an AI-powered learning platform that provides:

  • Study assistance for Red Seal and trades certification exams
  • AI-generated practice questions and exam simulations
  • Document analysis and question generation from user uploads
  • Progress tracking and performance analytics
  • Voice-enabled study features with multilingual support
  • Job matching services for certified professionals
  • Photo-based question generation from equipment and scenarios

3. AI-Generated Content Disclaimer

3.1 Nature of AI Content

Red Seal Hub uses artificial intelligence technologies to generate educational content, including but not limited to exam questions, explanations, study guides, and performance recommendations. You acknowledge and agree that:

  • AI content may contain errors: While we strive for accuracy, AI-generated content may include inaccuracies, outdated information, or errors. Always verify critical information against official Red Seal study materials.
  • Not a substitute for official materials: Our Service supplements but does not replace official Red Seal examination study guides, textbooks, or training programs.
  • No guarantee of exam success: Use of Red Seal Hub does not guarantee passing any certification exam. Exam outcomes depend on many factors beyond our Service.
  • AI limitations: AI systems have inherent limitations and may produce unexpected or incorrect outputs, especially for specialized technical content.

3.2 Photo-Based Question Generation

Our Service allows you to upload photos of equipment, machinery, work scenarios, or study materials to generate custom exam questions. Regarding this feature:

  • Accuracy limitations: AI analysis of images may misidentify equipment, components, or scenarios. Questions generated from photos should be reviewed for accuracy.
  • Safety information: AI-generated content about equipment or machinery is for educational purposes only. Always follow manufacturer guidelines and workplace safety protocols.
  • No professional advice: Photo-based questions do not constitute professional, technical, or safety advice. Consult qualified professionals for workplace decisions.
  • Image quality affects accuracy: The quality and clarity of uploaded photos directly impacts the accuracy of AI analysis and generated questions.

3.3 User Responsibility

You are responsible for independently verifying any information provided by our AI systems before relying on it for your certification preparation, workplace decisions, or any other purpose. We strongly recommend cross-referencing AI-generated content with official Red Seal study materials and consulting with qualified instructors or journeypersons.

4. Immigration & Job Placement Services Disclaimer

4.1 Service Scope - Domestic Recruitment Only

Red Seal Hub and Collars Employment Group Ltd. operate as a domestic recruitment platformfor Canadian workers and permanent residents in the skilled trades sector. We are NOT immigration consultants and do NOT recruit foreign workers from outside Canada. You acknowledge and agree that:

  • We are domestic recruiters: We actively recruit, screen, and match Canadian workers and permanent residents with employers for skilled trades positions within Canada.
  • We are NOT immigration consultants: Red Seal Hub and Collars Employment Group Ltd. are not Regulated Canadian Immigration Consultants (RCICs). We do not provide immigration advice, visa application assistance, or immigration pathway guidance.
  • We are NOT foreign worker recruiters: We do not recruit workers from outside Canada. We do not handle temporary foreign worker programs, LMIA applications, or international recruitment without proper provincial licensing. Note: We may expand to licensed foreign worker recruitment in specific provinces in the future, subject to obtaining required licenses and regulatory approvals.
  • Job board + recruitment hybrid: Our platform combines a self-serve job board (where employers post and candidates apply directly) with active recruitment services (where we source, screen, and refer qualified Canadian candidates to employers).
  • No employer-candidate relationship: Any employment relationship formed through our platform is exclusively between the employer and the candidate. Red Seal Hub is not a party to employment contracts or immigration processes.

4.2 Immigration Services Disclaimer

IMPORTANT: Immigration to Canada is a complex legal process that requires guidance from licensed professionals. Regarding immigration-related features:

  • Seek professional advice: If you are considering immigration to Canada, you must consult with a licensed Regulated Canadian Immigration Consultant (RCIC) or immigration lawyer. Do not rely on information from our platform as immigration advice.
  • Referral service only: When we connect international students or workers with immigration consultants, we are merely providing a referral to licensed professionals. The consultant-client relationship is independent of Red Seal Hub.
  • No immigration guarantees: We make no representations about immigration eligibility, processing times, visa approvals, or pathways to permanent residence. These determinations are made by Immigration, Refugees and Citizenship Canada (IRCC) and licensed immigration professionals.
  • AI questionnaires are not legal advice: Any questionnaires or forms we provide to assess immigration pathways are for informational purposes only and do not constitute immigration advice or legal consultation.

4.3 Recruitment Services & Job Board

Our platform provides both self-serve job board features and active recruitment services for domestic candidates:

  • Job board (self-serve): Employers can post job listings directly. Job details, working conditions, salaries, and employer credentials are provided by employers. We do not verify or guarantee the accuracy of employer-posted information.
  • Recruitment services (for Canadian workers): We may actively source, screen, and refer qualified Canadian workers and permanent residents to employers. This includes resume review, skills assessment, and candidate matching for skilled trades positions.
  • Direct applications: When you apply to a job through the self-serve job board, your application goes directly to the employer. When you are referred by our recruitment team, we facilitate the introduction and may provide employer feedback.
  • International candidates - AI-powered tracking only: If you are outside Canada, our AI system may track your immigration status and provide visibility to employers about your timeline to work authorization (e.g., "available March 2025"). However, we do NOT manually recruit you, process your application, or facilitate employer introductions until you have legal work authorization. Our role is limited to: (1) providing visibility into which employers are open to LMIA/sponsorship, (2) referring you to licensed RCICs for immigration advice, and (3) AI-powered status tracking. We do not handle visa sponsorships or engage in foreign worker recruitment. Employers engage candidates directly; we provide technology infrastructure only.
  • No employment guarantees: Whether applying directly or being referred by our recruitment team, we make no guarantees about job offers, hiring decisions, or employment outcomes. Final hiring decisions are made solely by employers.

4.4 Platform Fees & Business Model

Red Seal Hub operates as a technology platform that generates revenue through platform access fees and referrals, not through direct provision of recruitment or immigration services:

  • Employer platform fees: Employers pay subscription or usage-based fees to access our platform, post jobs, and use AI-powered screening and candidate tracking features. These are technology service fees, not recruitment placement fees.
  • RCIC referral fees: Immigration consultants pay us $500 CAD per successful referral (defined as a booked consultation or signed retainer agreement). This is a referral fee for lead generation, not compensation for immigration services.
  • Student subscription fees: Students (including international candidates) pay subscription fees ($29-49/month) to access the Red Seal exam preparation platform, including AI-generated practice questions, study materials, and progress tracking. Subscriptions are for educational services only and are not tied to job placement or employment outcomes. Job board access, job applications, and RCIC referrals are provided as complimentary features to subscribers at no additional charge.
  • Independent service providers: Employers make their own hiring decisions. Immigration consultants provide their own services and set their own fees. Red Seal Hub provides technology infrastructure that connects parties but does not control or influence outcomes.
  • Optional services: You are never required to use immigration consultants we refer. You may seek immigration advice from any licensed professional of your choice.

4.5 Regulatory Compliance

All immigration consultants listed on our platform must be licensed by the College of Immigration and Citizenship Consultants (CICC). We verify RCIC license numbers before allowing consultants to join our marketplace. However, you should independently verify consultant credentials at college-ic.ca before engaging their services.

5. User Accounts

5.1 Account Creation

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information as needed
  • Keep your login credentials secure and confidential
  • Be responsible for all activities under your account
  • Notify us immediately of any unauthorized access

5.2 Account Types

Our Service offers different account types (Student, Employer, Instructor, Immigration Consultant). You agree to use your account only for its intended purpose and not misrepresent your role or qualifications.

6. Acceptable Use Policy

You agree not to:

  • Use the Service for any unlawful purpose
  • Upload content that infringes intellectual property rights
  • Share, distribute, or sell AI-generated exam questions as official materials
  • Misrepresent AI-generated content as official Red Seal examination content
  • Upload photos containing confidential, proprietary, or classified information
  • Upload images of people without their consent
  • Attempt to circumvent security measures or access restrictions
  • Use automated systems to access the Service without permission
  • Interfere with the proper functioning of the Service
  • Harass, abuse, or threaten other users
  • Use the Service to cheat on actual certification exams

7. User-Uploaded Content

7.1 Your Content

You retain ownership of content you upload to the Service. By uploading content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and analyze your content for the purpose of providing the Service.

7.2 Content Responsibilities

You are solely responsible for content you upload and represent that:

  • You have the right to upload and share the content
  • The content does not violate any laws or third-party rights
  • Photos do not contain sensitive workplace or proprietary information
  • You have obtained necessary permissions for any photos of equipment or facilities

7.3 Content Removal

We reserve the right to remove any content that violates these Terms or that we deem inappropriate, without prior notice.

8. Subscriptions and Payments

8.1 Subscription Plans

Certain features require a paid subscription. Subscription terms, pricing, and features are described on our pricing page and may change with notice.

8.2 Billing

Subscriptions are billed in advance on a recurring basis (monthly or annually). Payment is processed through Stripe. You authorize us to charge your payment method automatically.

8.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial periods.

8.4 Free Plan

We offer a free plan with limited features. You may upgrade to a paid subscription at any time to access full features. No credit card is required for the free plan.

9. Intellectual Property

The Service, including its design, features, content, and underlying technology, is owned by Collars Employment Group Ltd. and protected by intellectual property laws.

"Red Seal Hub" and associated logos are trademarks of Collars Employment Group Ltd. You may not use our trademarks without prior written permission.

10. Limitation of Liability

10.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE SPECIFICALLY DISCLAIM ALL WARRANTIES INCLUDING:

  • Accuracy of AI-generated content
  • Fitness for certification exam preparation
  • Uninterrupted or error-free operation
  • Correction of defects or bugs
  • Absence of viruses or harmful components

10.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, data, or business opportunities
  • Failure to pass certification exams
  • Reliance on AI-generated content
  • Workplace incidents related to information from the Service
  • Career or employment consequences

10.3 Maximum Liability

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Collars Employment Group Ltd., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Third-Party Services

Our Service integrates with third-party services including:

  • Clerk (authentication)
  • Stripe (payment processing)
  • Google AI / Gemini (content generation)
  • Anthropic Claude (AI assistance)
  • ElevenLabs (voice services)
  • Supabase (data storage)

Your use of these services is subject to their respective terms and privacy policies.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. You may terminate your account at any time by contacting us or using account settings.

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will remain in effect.

14. Governing Law and Disputes

These Terms are governed by the laws of Canada and the Province of Alberta, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the Canadian Arbitration Association rules, unless otherwise required by law.

15. Miscellaneous

  • Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Failure to enforce any provision does not waive our right to enforce it later.
  • Assignment: You may not assign these Terms without our consent. We may assign our rights without restriction.
